Understanding your agreement with Growi

1. Agreement to these terms

These Terms of Service (the "Terms") govern your access to and use of the Growi platform, websites, APIs, and related services (collectively, the "Services"), operated by Growi, Inc. ("Growi," "we," "us," or "our"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you may not use the Services.

2. Definitions

• Brand — a business that uses Growi to discover, contract, and pay creators.
• Creator — an individual or entity that participates in campaigns through the Growi marketplace.
• Campaign — a program created on Growi through which Brands engage Creators to promote products.
• Content — any material submitted, posted, or generated through the Services, including creative assets, messages, and profile information.

3. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@growi.io if you suspect unauthorized access.

You agree to provide accurate, current, and complete information and to keep it up to date.

4. The Services

Growi provides a platform that connects Brands and Creators, facilitates campaign management, attribution, content tracking, and creator payouts, and offers AI-assisted workflows. We may modify, suspend, or discontinue any part of the Services at any time. We will use commercially reasonable efforts to notify you of material changes that adversely affect your use.

4.1 AI features

Certain features use automated systems and machine learning to generate recommendations, drafts, and insights. AI output may be inaccurate or incomplete; you are responsible for reviewing it before relying on it. You retain ownership of your inputs, and we do not use your confidential business data to train third-party foundation models without your consent.

5. Marketplace & campaigns

Growi facilitates transactions between Brands and Creators but is not a party to the agreements they form. Brands and Creators are solely responsible for the terms of their campaigns, including deliverables, usage rights, exclusivity, and compliance with applicable advertising laws (including FTC endorsement guidelines and platform disclosure rules).

We do not guarantee any particular result, sales volume, or campaign performance.

6. Fees, billing & payouts

Fees for the Services are described in your order form or subscription plan. Unless stated otherwise, fees are quoted in U.S. dollars, are non-refundable, and are exclusive of taxes. Subscriptions renew automatically unless cancelled before the end of the then-current term.

Where Growi facilitates payouts to Creators, funds are disbursed through our third-party payment processors. You authorize us and our processors to collect, hold, and remit funds in connection with campaigns. You are responsible for the accuracy of payout details and any applicable tax reporting.

Creator payouts may be subject to a banking payout fee of $0, $1, or $2 per payout (or a higher banking payout fee as disclosed in the Services or your plan), which may be deducted from the amount transferred to the Creator. The applicable fee depends on payout amount, payout method, currency conversion, and other factors we publish in the Services. Fee amounts and thresholds may change from time to time; the fee shown at the time of payout controls. Additional processor, withdrawal, or network fees may apply depending on the payout rail selected.

Creators may also be charged additional fees to apply to or join marketplace brand deals and Campaigns. Application and participation fees are set per Brand deal or Campaign and are disclosed in the Services before the Creator submits an application or accepts the engagement. Those fees may differ by Brand, Campaign, or opportunity, are generally non-refundable unless we state otherwise, and may be charged at application, acceptance, or as otherwise described for that deal.

7. Platform payments & non-circumvention

Brands and Creators agree that any Creator sourced, discovered, introduced, invited, hired, or otherwise engaged through Growi (including through the Growi marketplace, discovery tools, campaigns, applications, outreach, or related Services) must be paid exclusively through the Growi platform for work, campaigns, deliverables, or other engagements arising from that introduction or relationship, for so long as these Terms apply and as otherwise required by your order form or subscription plan.

You may not, and may not encourage or assist others to, solicit, negotiate, accept, or make off-platform payments, invoices, or compensation arrangements intended to avoid Growi fees, payout processing, or platform enforcement for Growi-sourced Creators or Campaigns.

Violations may result in suspension or termination of access, forfeiture of unpaid amounts to the extent permitted by law, recovery of unpaid fees, and other enforcement action. Brands and Creators remain responsible for complying with this section even if they subsequently communicate or engage outside the Services.

8. Acceptable use

You agree not to, and not to permit others to:

• Use the Services for any unlawful, fraudulent, or deceptive purpose;
• Post content that is infringing, defamatory, obscene, or that violates a third party's rights;
• Circumvent, disable, or interfere with security or rate-limiting features;
• Bypass Growi's payment, payout, billing, or fee-enforcement mechanisms, including by arranging off-platform payment for Growi-sourced Creators;
• Scrape, reverse-engineer, or attempt to derive source code except as permitted by law;
• Misrepresent audience metrics, engagement, or sales attribution;
• Resell or sublicense the Services without our written consent.

9. Content & intellectual property

As between you and Growi, you retain all rights to Content you submit. You grant Growi a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your Content solely to operate and improve the Services. Growi and its licensors retain all rights in the Services, including software, design, and trademarks. Nothing in these Terms transfers those rights to you.

10. Third-party integrations

The Services integrate with third-party platforms such as TikTok Shop, Shopify, Amazon, and payment providers. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, accuracy, or practices. You authorize Growi to access and exchange data with connected accounts as needed to provide the Services.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, Growi will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Growi in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Growi and its officers, directors, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising from your Content, your use of the Services, or your violation of these Terms or applicable law.

14. Term & termination

These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe your use poses a risk to Growi or others. Upon termination, the rights granted to you will cease, and provisions that by their nature should survive will survive.

15. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. Nothing prevents either party from seeking injunctive relief to protect its intellectual property.

16. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms with a revised "Last updated" date and, where appropriate, by additional notice. Your continued use after changes take effect constitutes acceptance.
